Terms of Service

1. Enterprise Services Agreement

AgileStack provides enterprise software development and consulting services with a minimum engagement value of $25,000+. All projects are governed by individual Master Service Agreements (MSA) executed between AgileStack and the client organization.

2. Scope of Services

Our services include but are not limited to: digital transformation consulting, custom software development, cloud infrastructure design, DevOps implementation, and strategic technology advisory. Specific deliverables are defined in each project's Statement of Work (SOW).

3. Intellectual Property

Unless otherwise specified in the MSA, all custom software and deliverables created for clients become the property of the client upon full payment. AgileStack retains the right to use general methodologies, frameworks, and non-confidential learnings in future engagements.

4. Confidentiality

Both parties agree to maintain strict confidentiality regarding all proprietary information shared during the engagement. This obligation extends for five (5) years beyond the termination of services.

5. Service Level Agreements

For production systems, AgileStack commits to 99.9% uptime SLA where applicable. Specific SLA terms, including response times and escalation procedures, are detailed in individual service agreements.

6. Payment Terms

Payment schedules are defined in each MSA. Standard terms include 50% upfront payment for projects under $250,000, with the remainder due upon milestone completion. Projects exceeding $250,000 follow customized payment schedules.

7. Limitation of Liability

AgileStack's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim. Neither party shall be liable for indirect, incidental, or consequential damages.

8. Warranty

AgileStack warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards. Software deliverables are warranted for 90 days from delivery against material defects.

9. Termination

Either party may terminate services with 30 days written notice. In case of termination, the client remains liable for all work completed and expenses incurred up to the termination date.

10. Governing Law

These terms and any disputes arising from our services shall be governed by the laws of the United States and the State of Delaware, without regard to conflict of law provisions.
